1. Acceptance of Terms
By accessing, browsing, or using the Trust Axis website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you and Trust Axis.
2. Eligibility
To use our services, you must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater. By using our services, you represent and warrant that you are of legal age to form a binding contract, that you have the legal capacity and authority to enter into these Terms, and that your use of our services does not violate any applicable law or regulation. You further represent that you are not located in, nor are you a resident or national of, any country subject to trade embargoes or economic sanctions, and that you are not listed on any government list of prohibited or restricted parties.
3. Description of Services
Trust Axis provides private trust management services including the creation, administration, and management of various trust arrangements. Our services include:
- Business Trusts: Trust arrangements designed to hold and manage business assets, intellectual property, and operational funds.
- Crypto Trusts: Trust arrangements for the secure custody and management of cryptocurrency and digital asset holdings.
- Real Estate Trusts: Trust arrangements for holding title to residential and commercial properties and managing property-related income.
- Trust Funds: Traditional trust fund arrangements for wealth preservation and distribution across generations, providing for education, healthcare, and financial security of beneficiaries.
- Irrevocable Trusts: Trust arrangements where the grantor permanently transfers assets out of their personal estate, providing enhanced asset protection, creditor shielding, and potential estate tax benefits. Once established, the terms generally cannot be modified without beneficiary consent or court order.
- Spendthrift Trusts: Trust arrangements that restrict a beneficiary's access to trust principal and protect trust assets from the beneficiary's creditors, with distributions controlled by the trustee.
Our services also include digital asset portfolio management, transaction processing (deposits, withdrawals, and swaps), trust document generation, and related administrative functions. Trust Axis does not provide legal, tax, investment, or financial advice. You should consult qualified professionals for advice tailored to your specific circumstances.
4. Account Registration and Security
To access our services, you must create an account and provide accurate, complete, and current information during the registration process. You agree to update your information promptly if it changes. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication codes, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Trust Axis will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
5. Trust Services and Administration
Our trust services are provided as private trust arrangements. All trust applications are subject to review and approval by our administrative team, and we reserve the right to approve, reject, or request additional information for any application at our sole discretion. Approved trusts are governed by the trust declaration document generated upon approval, which sets forth the specific terms, conditions, and provisions of the trust arrangement.
By submitting a trust application, you represent and warrant that all information provided is true, accurate, and complete, including grantor details, beneficiary information, and guarantor details where applicable. You agree that providing false or misleading information may result in the rejection or revocation of your trust and termination of your account. Trust arrangements that are rejected may be amended and resubmitted for further review.
Trust Axis maintains administrative oversight of all trust arrangements and reserves the right to modify trust administration procedures, update trust documentation requirements, and implement changes to trust management policies as deemed necessary for regulatory compliance or operational improvements.
6. Digital Assets and Cryptocurrency Services
Our digital asset services are provided on an as-is basis. By using these services, you acknowledge and accept the following:
Volatility and Market Risk: Digital asset values are highly volatile and can fluctuate significantly in short periods. You may experience substantial gains or losses. Trust Axis is not responsible for any losses resulting from market fluctuations, price changes, or the decrease in value of any digital assets held in your account.
Not Legal Tender: Digital assets are not legal tender, are not backed by any government, and accounts holding digital assets are not subject to Federal Deposit Insurance Corporation (FDIC) protections or Securities Investor Protection Corporation (SIPC) coverage.
Transaction Irreversibility: Blockchain transactions are generally irreversible once confirmed on the network. Trust Axis cannot reverse, cancel, or modify confirmed blockchain transactions. You are solely responsible for ensuring the accuracy of all transaction details before submission.
Network and Protocol Risks: Trust Axis does not own or control the underlying blockchain networks or protocols. We bear no responsibility for the operation, security, or availability of any blockchain network, including the effects of forks, upgrades, or protocol changes that may affect your digital assets.
Network Fees: Blockchain transactions may be subject to network fees (such as gas fees) that are determined by the respective blockchain network and are outside our control. You are responsible for understanding and accepting applicable network fees.
7. Account Activity and Withdrawal Requirements
To protect the integrity of our platform, prevent fraud and money laundering, and ensure the long-term stability of trust arrangements, all withdrawals are subject to the following account-maturity requirements:
- Account Maturity – Activity Period: Your account must have been active for a minimum of 5 months from the date of registration before any withdrawal transaction may be initiated.
- Minimum Balance Requirement: Your aggregate portfolio held with Trust Axis must be valued at more than $50,000 USD at the time the withdrawal request is submitted. Portfolio value is calculated using the current market price of each held asset, or the administrative reference price where one has been set.
- Withdrawal Guidelines: All withdrawal destinations (wallet addresses or account numbers) must be non-suspicious. We reserve the right to reject withdrawal requests to addresses associated with sanctioned entities, mixing services, or any address we reasonably suspect of being connected to fraudulent or illicit activity.
- Account Structure & Safety: Users are required to structure their account properly — including completing onboarding, providing accurate beneficiary and guarantor details, and maintaining up-to-date verification information — to ensure account safety.
- Structuring Fee: Each trust arrangement is subject to a structuring fee, which must be paid before the trust is approved and before the associated holdings become eligible for withdrawal.
A withdrawal request submitted before any of these requirements has been met will be declined automatically. The relevant requirement and the date on which it is expected to be satisfied will be communicated to you. These requirements are summarized for your convenience under the Account Guidelines section above and on the corresponding section of our Privacy & Terms page.
8. Fees and Charges
Trust Axis may charge fees for certain services, including trust administration, digital asset transactions, and other platform services. Applicable fees will be disclosed to you before you incur them. We reserve the right to modify our fee structure at any time with reasonable notice. Continued use of our services after fee changes take effect constitutes your acceptance of the updated fees. You are responsible for all taxes, duties, and other governmental charges associated with your use of our services and any transactions conducted through our platform.
9. User Responsibilities and Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You are prohibited from:

- Transmitting any viruses, malware, or other harmful code through our platform
You are solely responsible for the accuracy and legality of all information and content you submit through our platform and for ensuring your use of our services complies with all applicable laws and regulations in your jurisdiction.
10. Intellectual Property
All content, features, and functionality of our platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design and arrangement thereof, are the exclusive property of Trust Axis or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose. Your interactions with third-party services are governed by those parties' own terms and policies. Trust Axis shall not be liable for any damage or loss caused by or in connection with the use of or reliance on any third-party services, content, or resources.
12. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Trust Axis disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our services will be uninterrupted, timely, secure, or error-free, that any defects will be corrected, or that our platform is free of viruses or other harmful components. No advice or information, whether oral or written, obtained from Trust Axis or through our services shall create any warranty not expressly stated in these Terms.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Trust Axis, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of digital assets, business interruption, personal injury, or loss of goodwill, arising out of or in connection with your use of or inability to use our services, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of our services exceed the greater of (a) the total fees paid by you to Trust Axis during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). The limitations of liability set forth in this section shall apply to the fullest extent permitted by law in the applicable jurisdiction.
14. Indemnification
You agree to defend, indemnify, and hold harmless Trust Axis, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to our services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any content or information you provide through our platform; or (e) any claim that your use of our services caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your use of our services.
15. Dispute Resolution
Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve the dispute informally. We will endeavor to resolve any dispute in good faith within thirty (30) days of receiving your written notice.
Binding Arbitration: If a dispute cannot be resolved informally, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved through final and binding arbitration, rather than in court. Arbitration shall be conducted in accordance with the rules of the applicable arbitration association in the jurisdiction where Trust Axis is headquartered. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Trust Axis.
Time Limitation: Any claim arising out of or related to these Terms must be filed within one (1) year after the cause of action arose, or such claim shall be permanently barred.
16. Governing Law
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction in which Trust Axis is incorporated, without regard to its conflict of law provisions. To the extent that any legal proceedings are not subject to arbitration, you consent to the exclusive jurisdiction and venue of the courts located in that jurisdiction.
17. Suspension and Termination
Trust Axis reserves the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to the security or integrity of our platform. You may close your account at any time by contacting us. Upon termination, your right to use our services will immediately cease. Sections of these Terms that by their nature should survive termination shall remain in effect, including but not limited to provisions regarding intellectual property, disclaimer of warranties, limitation of liability, indemnification, and dispute resolution.
18. Force Majeure
Trust Axis shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions or regulations, power outages, internet or telecommunications failures, blockchain network congestion or failures, protocol changes, cyberattacks, or any other event of force majeure. During such events, our obligations under these Terms shall be suspended for the duration of the force majeure event.
19. Electronic Communications
By creating an account and using our services, you consent to receive electronic communications from us, including but not limited to emails, in-app notifications, and notices posted on our website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of marketing communications at any time, but you may not opt out of service-related communications necessary for the administration of your account or trust.
20. Modifications to Terms and Services
We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending you an email notification or displaying a prominent notice on our platform. Your continued use of our services following the posting of revised Terms means that you accept and agree to the changes. We also reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice or liability.
21. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Trust Axis regarding your use of our services and supersede all prior and contemporaneous agreements, proposals, and communications, whether oral or written.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Trust Axis.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Trust Axis may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights in any person or entity that is not a party to these Terms.
